These Terms of Service ("Terms") govern your use of the DealerTech Dealership Management System provided by DealerTech on the website www.dealertech.co.uk. By accessing or using the System, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the System.
a. Subject to these Terms, Company grants you a non-exclusive, non-transferable, limited license to use the DealerTech System for your dealership management purposes.
b. You may not sublicense, distribute, lease, rent, lend, or otherwise transfer the DealerTech System to any third party.
a. The DealerTech System, including all related intellectual property rights, is and will remain the exclusive property of DealerTech.
b. You agree not to modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the DealerTech System.
a. You retain ownership of any data, information, or content you upload, submit, store, or transmit through the DealerTech System.
b. By uploading, submitting, storing, or transmitting User Content, you grant DealerTech a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content solely for the purpose of providing and improving the DealerTech System.
a. DealerTech respects your privacy and handles your personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference. By using the DealerTech System, you consent to the collection, use, and disclosure of your personal data as described in the Privacy Policy.
a. The DealerTech System is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
b. DealerTech does not warrant that the DealerTech System will be uninterrupted or error-free, that defects will be corrected, or that the System is free of viruses or other harmful components.

In no event shall DealerTech be liable for any indirect, incidental, special, consequential, or punitive damages, including, but not limited to, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use or inability to use the DealerTech System.

You agree to indemnify, defend, and hold harmless DealerTech and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or related to your use or misuse of the DealerTech System, violation of these Terms, or infringement of any third party rights.
a. These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law principles.
b. Any dispute arising out of or in connection with these Terms shall be exclusively resolved by the competent courts of your jurisdiction.
